If you are considering opening a branch in Slovenia, it is important to understand that branches do not have their own legal entity status. They operate in the name and at the expense of the parent foreign company. This means that they must use the name of the parent company, its headquarters and their own name, in accordance with the Companies Act (ZGD-1). This represents a specific organizational structure that is necessary for the successful operation of the branch.

Conditions for establishing a branch in Slovenia.

There are certain conditions for establishing a branch in Slovenia, which differ depending on whether the parent company is from a European Union country or a third country. If the parent company is from a third country, this company must be registered in the country of its headquarters for at least two years before it can establish a branch in Slovenia. However, if the parent company comes from a member state of the European Union, this condition is not necessary.
